Shipment: Products are shipped FOB Origin, and the buyer assumes responsibility for loss or damage during shipping. The buyer must comply with all applicable laws regarding import/export licenses and restrictions.

Delivery: The seller is not liable for delays or failures beyond their control, and they reserve the right to deliver products in installments or terminate/suspend orders in case of material breaches by the buyer.

Limited Warranty: Products are warranted by third-party manufacturers or pursuant to warranty terms included with the products. The seller does not provide additional warranties beyond those specified, and their liability is limited to the purchase price of the product.

Limitation on Liability: The buyer agrees to limit liability to its customers and indemnify the seller against any claims related to product failures or damages.

Seller’s Trademarks: The buyer must use the seller's trademarks only as specified and agreed upon. The seller retains ownership of their intellectual property.

Confidential Information: Both parties agree to protect and use each other's confidential information only as necessary for the business relationship. The seller may use data collected from products for various business purposes.

Return and Repair Policies: The seller outlines policies for returning unused products for credit and replacing defective products. Special order items may be non-returnable or subject to restocking fees.

Taxes: Prices do not include taxes, and the buyer is responsible for paying any applicable taxes unless a tax exemption certificate is provided.

C.O.D. Purchases, Purchases on Credit: Freight charges are the buyer's responsibility for C.O.D. purchases, and the seller may revoke credit if payments are not made on time.

Security Interest: The seller has a security interest in products sold to the buyer until the buyer fulfills their obligations.

Promise to Pay and Late Charge on Past Due Amounts: The buyer agrees to pay invoices on time and incurs a late charge for overdue payments.

Invoice Disputes: Any disputes regarding invoices must be submitted in writing within 30 days.

Import/Export Laws: The buyer must comply with all import, export, and re-export control laws and regulations.

Waiver: No waiver of terms by the seller constitutes a waiver of other terms, and buyers consent to receive paperless invoices.

Error: Stenographic and clerical errors in invoices are subject to correction.

Applicable Law and Jurisdiction: The agreement is governed by the laws of New York, with exclusive jurisdiction in New York courts.

Assignment: Neither party can assign rights or obligations without the other party's written consent.
